dc.description<p>The paper analyzes close corporation involuntary dissolution, and places it in the context of two other shareholders remedies: appraisal rights and damages. It is argued that dissolution is oriented to a renegotiation between the majority and the minority shareholder, recreating the initial conditions of the investment-with several limits. Based on this analysis, dissolution is described as a mechanism alternative but not subordinate to appraisal rights, and damages as a complementary remedy that must be made compatible with liquidating distribution.</p>eng
